Terms and Conditions
1. Background
1.1. Webdeli distributes printed marketing materials (including but not limited to magazines and brochures) to the public via display stands.
1.2. The Host agrees to allow Webdeli to install a display stand on its premises for public access.
1.3. This Agreement sets out the terms governing this arrangement.
2. Installation and Use of the Display Stand
2.1. Webdeli will supply and install a display stand (the “Stand”) at the Host’s premises in a mutually agreed location.
2.2. The Stand will be used solely for the display and distribution of printed materials provided by Webdeli.
2.3. Ownership of the Stand and its contents remains with Webdeli at all times.
2.4. The Host must not move, tamper with, or repurpose the Stand without prior written consent from Webdeli.
2.5. Webdeli may access the Stand during business hours to restock, service, inspect, or remove it at its discretion.
2.6. Webdeli may remove the Stand at any time without notice or reason.
3. Health & Safety Obligations
3.1. The Host agrees to ensure the Stand is placed in a safe, accessible location that:
a. Does not obstruct emergency exits or safety equipment;
b. Is clean, dry, and well-lit;
c. Is on stable, level ground to prevent tipping.
3.2. The Host shall maintain the immediate area around the Stand in a tidy, hazard-free condition.
3.3. Any damage or safety issues must be reported to Webdeli immediately.
3.4. The Host may not alter the Stand or permit others to do so.
4. Maintenance and Servicing
4.1. Webdeli may refill, rotate, clean, repair, or replace the Stand as it sees fit.
4.2. There is no obligation for Webdeli to maintain a regular refill schedule.
4.3. The Host shall not stock or modify the Stand’s contents without written approval.
4.4. The Host must provide Webdeli access for these purposes during normal business hours.
5. Liability and Disclaimer
5.1. Webdeli accepts no liability for any injury, damage, loss or claim arising from:
a. Use or misuse of the Stand by staff or the public;
b. Location or placement of the Stand;
c. Materials taken from the Stand;
d. Any act or omission not directly caused by Webdeli’s gross negligence.
5.2. Webdeli provides no warranty, express or implied, regarding the Stand or printed content.
5.3. Webdeli’s maximum liability under this Agreement shall not exceed £100.
5.4. Webdeli shall not be liable for any indirect, special, or consequential losses.
6. Indemnity
6.1. The Host agrees to fully indemnify and hold harmless Webdeli from any and all claims, losses, liabilities, and costs (including legal fees) arising from:
a. Any breach of this Agreement by the Host;
b. Personal injury or property damage resulting from the placement or condition of the Stand;
c. Any unauthorised use or alteration of the Stand or materials.
7. Insurance
7.1. The Host must maintain appropriate public liability insurance covering risks associated with the Stand and its use.
7.2. Proof of such insurance must be provided to Webdeli upon request.
8. Intellectual Property
8.1. All branding, logos, content, and materials provided by Webdeli remain its intellectual property.
8.2. The Host shall not copy, alter, or distribute any content without written permission.
9. Force Majeure
9.1. Webdeli shall not be held liable for delays or failures due to causes beyond its reasonable control, including (but not limited to): natural disasters, pandemics, war, strikes, supply chain issues, or government action.
10. Term and Termination
10.1. This Agreement begins on the date of signing and remains in effect until terminated.
10.2. Either Party may terminate this Agreement at any time with seven (7) days’ written notice.
10.3. Webdeli may terminate immediately if the Host:
a. Breaches this Agreement;
b. Misuses the Stand;
c. Creates a safety or reputational risk.
10.4. Upon termination, the Host must make the Stand available for prompt collection.
11. Confidentiality
11.1. Both Parties agree to keep confidential all non-public information shared under this Agreement, unless disclosure is required by law.
12. General Terms
12.1. Entire Agreement: This Agreement represents the full understanding between the Parties.
12.2. Amendments: No changes will be valid unless agreed in writing.
12.3. Severability: If any clause is invalid, the remainder shall remain in force.
12.4. No Partnership: Nothing in this Agreement creates a partnership or joint venture.
12.5. Assignment: The Host may not assign this Agreement without Webdeli’s written consent.
12.6. Governing Law: This Agreement is governed by the laws of England and Wales.
12.7. Jurisdiction: The courts of England and Wales shall have exclusive jurisdiction over any disputes.
